Welcome to FN Cleaners! These Terms of Service ("Terms") govern your access to and use of our commercial cleaning services (the "Services"). Please read these Terms carefully, and contact us if you have any questions. By accessing or using our Services, you agree to be bound by these Terms and by our Privacy Policy.
1. Services
1.1 Description of Services
FN Cleaners provides commercial cleaning services to businesses in the Twin Cities area in Minnesota. Our Services include but are not limited to, daily maintenance, carpet cleaning, facilities maintenance, and sanitization.
1.2 Modification of Services
We are constantly changing and improving our Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. FN Cleaners may also update these Terms to reflect changes to our Services or for other legal or regulatory reasons.
2. Customer Obligations
2.1 Accurate Information
You must provide accurate and complete information when signing up for our Services and must keep this information up to date.
2.2 Compliance with Laws
You agree to use the Services only in compliance with all applicable laws, rules, and regulations.
2.3 Access and Facilities
You must provide FN Cleaners with access to your facilities during scheduled cleaning times. You must also ensure that FN Cleaners has access to necessary utilities, such as electricity and water.
3. Fees and Payment
3.1 Pricing
Pricing for our Services will be provided in your contract. FN Cleaners reserves the right to modify pricing with notice to you.
3.2 Payment Terms
Payment terms will be detailed in your contract. Unless otherwise agreed, payment is due upon receipt of the invoice.
3.3 Late Payments
Late payments may incur a late fee as detailed in your contract. Continued non-payment may result in suspension or termination of Services.
4. Termination
4.1 Termination by You
You may terminate your contract with FN Cleaners by providing notice as specified in your contract.
4.2 Termination by FN Cleaners
FN Cleaners may terminate your contract if you violate these Terms or if it is necessary to do so to comply with legal or regulatory requirements.
4.3 Effect of Termination
Upon termination, all outstanding fees become immediately due. Any sections of these Terms which by their nature should survive termination will survive termination, including but not limited to payment obligations and limitations of liability.
5. Limitation of Liability
5.1 Disclaimer of Warranties
FN Cleaners provides the Services “as is” and “as available.” FN Cleaners does not warrant that the Services will be uninterrupted or error-free.
5.2 Limitation of Damages
To the maximum extent permitted by law, FN Cleaners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
6. Indemnification
You agree to indemnify and hold FN Cleaners harmless from any claims, losses, damages, liabilities, including legal fees, arising out of your use or misuse of the Services, your violation of these Terms, or your violation of any rights of another.
7. Governing Law
These Terms will be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of laws principles.
8. Dispute Resolution
Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration conducted by the American Arbitration Association. The arbitration will be held in the Twin Cities, Minnesota.
9. Miscellaneous
9.1 Entire Agreement
These Terms, along with your contract and our Privacy Policy, constitute the entire agreement between you and FN Cleaners regarding the Services.
9.2 Amendments
We may amend these Terms from time to time. If we make material changes, we will provide you with notice. Your continued use of the Services after the changes come into effect will constitute your acceptance of the amended Terms.
9.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
9.4 Waiver
No waiver of any term of these Terms will be deemed a further or continuing waiver of such term or any other term, and FN Cleaners’ failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.
